Look Before You Leap...Legal Issues of Doing Business in Cyberspace...

As businesses face the age of electronic commerce, they face new legal challenges. Lawyers, otherwise well briefed in corporate and commercial law issues, find themselves shaking at the knees when "cyberspace" is mentioned. Human Resource professionals, nonplussed by typical employment potholes, find themselves plunging into a bottomless pit of litigation and expense.

In the years we have been practicing cyberspace law, we have developed a cyber-audit that identifies areas of risk. The quick audit allows companies and business lawyers to know when to consult experienced cyberspace lawyers to help guide them though the minefield of the Internet and the developing law of cyberspace.

Although certain industries have special Internet concerns, all U.S. businesses with websites or plans to construct a site have similar risks:

• Obtaining a domain name that identifies the business which doesn't infringe on another's trademark.
• Ensuring that they have all rights to their website material, design and derivations thereof.
• Protecting their intellectual property rights and trade secrets used in designing and constructing the site.
• Complying with the various laws and advertising regulations applicable to the site.
• Protecting your intellectual property online.
• Obtaining adequate insurance for Internet-related risks.
• Limiting the jurisdictions in which they can be sued.
• Understanding the tax implications of Internet commerce.
• Avoiding liability to third parties based upon information contained at the site and for links from the site.
• Providing adequate security for the site, information disseminated from the site and data obtained about and from visitors to the site.
• Adequate disclosure about the information you collect at your site and how that information is used.
